Funds and Asset Management

Our asset management practice is aimed to serve local and international clients who are establishing or operating asset management platform in Hong Kong, or otherwise accessing the investors or investment opportunities in the Greater China region and beyond. Our lawyers are experienced in advising clients in understanding and navigating the business, legal and regulatory environment in Hong Kong for asset management, assisting with incorporation and structuring of investment management or advisory services entities, advising on licensing and compliance requirements, and assisting clients in obtaining necessary licenses or registrations with financial regulatory authorities in Hong Kong.

With funds formation as a core area of our asset management practice, we also advise on and assist clients with structuring and establishing funds across different forms, jurisdictions and asset-classes, including establishing and applying for regulatory authorisation of retail investment funds domiciled in Hong Kong or other jurisdictions, pension funds, hedge funds, exchange traded funds, private equity funds, real estate funds and other collective investment schemes or investment arrangements such as managed accounts, advisory mandates or co-investment deals.

In supporting our clients in asset management, we are ready to also advise clients on other legal issues and matters in their business and operations.  Our lawyers are experienced in advising on joint ventures or shareholder issues, mergers and acquisitions or corporate governance issues for asset management clients of myriad background and diverse situations.  We may also assist clients with structuring management incentives or staff investment participation schemes.

The rich experience of our asset management lawyers also extends to legal and regulatory issues for investments into China.  Together with our key law firm partner in China, we offer market leading insights to assist clients in understanding and addressing China regulatory challenges and requirements, such as advising on strategic investment structures, custody arrangements, securities regulations, currency control and tax issues under the current framework for investments into China.
